Terms and Conditions – Promotional Campaign Venga Sant Jordi

This promotional campaign (hereinafter, the "Campaign") is organized by Venga Europe S.L., with registered office at Passeig del Mare Nostrum, Norrsken House, nº 15, 08039, Barcelona (Spain), and NIF B-56395585 (hereinafter, "Venga" or the "Organizer"). These Terms and Conditions set out the rules governing participation in the Campaign ("T&C").

1. The Sant Jordi Roulette

   A prize roulette will be available at the Radio Flaixbac stand in the city of Barcelona (Passeig de Gracia 53-55) on April 23, 2026. Attendees may participate subject to prior verification by the Venga team of the following requirements:

2. Verify that the participant has downloaded the Venga application and is duly registered on it, either as a pre-existing user or as a new user registered at the stand itself.
3. Collect the participants' consent to these Campaign T&C.

4. Where the prize is monetary, record the winner’s Venga app user number so that the relevant amount may later be credited to the corresponding account, subject to compliance with the applicable KYC requirements. To that end, the participant must provide the Venga team with their user number on the Venga app. If the user has just registered on the app at the stand, they will be granted until April 27 at 23:59 h (CEST) to complete the KYC and due diligence process. Failure to complete the KYC process within this timeframe will result in forfeiture of the opportunity to have the prize credited to their account.

   1. Sant Jordi Roulette Prizes and Stock

      The Sant Jordi Roulette consists of a physical wheel composed of 18 segments, distributed randomly, each associated with a different type of prize. The segments are distributed as follows:

7. 5 slots: 5 USDC

8. 3 slots: 10 USDC

   e 2 slots: 20 USDC

9. 1 slot: 100 USDC

   Participants may spin the wheel once after verifying their eligibility by showing their account details to Venga staff at the designated stand. The availability of prizes is subject to the following limits:

10. Sant Jordi rose: up to a maximum of 300 units.
11. Exclusive tote bag: up to a maximum of 100 units.

12. Prizes in cryptocurrency: the total aggregate value of the prizes awarded shall not exceed 2,000 USDC

    Once the stock of one or more prize categories has run out, the wheel will continue to operate until the end of the promotion or until all available prizes are exhausted. If the wheel lands on a prize category that has already out of stock, the participant will be permitted a redraw to spin the wheel one additional time. Participation in the Sant Jordi Roulette implies express acceptance of these T&C, including:

13. the random nature of the result,
14. the limited availability of prizes in each category, and

15. the possibility that certain prizes may be out of stock at the time of the draw.

    Consequently, the participant waives the right to make any claims regarding the availability of prizes or the result obtained, to the extent permitted by applicable regulations. Any interpretation or application of these Terms and Conditions shall respect good faith, transparency and applicable law.

    2. Claiming and Delivery of Prizes

       Prizes will be awarded based on the random result obtained on the physical wheel and in accordance with the following conditions: General provisions The prizes:

16. Shall not be exchangeable for cash,
17. Shall not be transferable, and

18. Shall not be subject to exchange or alteration.

    Venga will not be responsible for the inability to deliver the prize when there is a cause attributable to the participant, including, without limitation, the refusal to provide the required data or non-compliance with the participation conditions. Physical prizes: The Rosa de Sant Jordi and Tote bag prizes will be handed out on the spot, at the stand itself, by Venga staff, once compliance with the entry requirements has been verified. USDC prizes (Roulette): The delivery of cryptocurrency prizes will be carried out by crediting the corresponding amount to the user's account in the Venga application, subject to prior verification of compliance with the requirements and conditions stipulated in these T&C and complemented by Venga’s General Terms & Conditions of Use. In all cases and without exception, the crediting of the cryptocurrency prize will be conditional on the approval of the participant as an application user, once the KYC process and due diligence process has been satisfactorily completed and validated, in accordance with the General Terms and Conditions of Use of the Venga application. If not an approved Venga user at the time of participating in the event, the user must complete the KYC and due diligence process in the Venga app by no later than April 27 at 23:59 h (CEST). In the event that any incident is detected in relation to the documentation provided, the participant will be granted a maximum period of one (1) week from the communication of said incident made through the customer support channels to satisfactorily pass the identity verification and due diligence process in the application, provided that it is verified that they made the attempt before the ordinary deadline, i.e., prior to April 27 at 23:59 h (CEST). The payment of the prize will be credited to the user´s account within thirty (30) calendar days from the successful completion of the customer´s KYC. In the event that the participant:

19. does not complete the process within the deadline,
20. does not satisfactorily pass the verification process (KYC), or

21. fails to comply with the applicable regulatory requirements,

    they will be automatically disqualified, losing any right to the prize, without any compensation being due. If the identity verification and due diligence process has been approved on time, the cryptocurrency prize in USDC will be credited to the user’s wallet on Venga under the T&C set out in this document.

22. The Grand Prize

    The Grand Prize consists of participation in an automated draw promoted by Venga to incentivize the adoption and use of the Venga application.

    1. Prize

       A single prize of five thousand euros (€5,000) credited in the winner's Venga account within thirty (30) calendar days following the final definition of the Grand Prize winner.

    2. Selection procedure

       To be eligible for this draw, individuals must exclusively meet all the following conditions:

23. Be a new registered user between April 13, 2026, at 00:01 (CEST), and April 27, 2026, at 23:59 (CEST);
24. Have successfully passed the identity verification process (KYC) before April 27 at 23:59 (CEST); and

25. To have registered the account from Spain.

    3. Mechanics and Resolution

       Random Selection: The prize will be drawn using an automated system external to Venga. The draw will be conducted in the presence of a notary public appointed by Venga, in order to ensure public faith and an independent, neutral verification of the process. This computerized draw shall be executed on Tuesday, April 28, 2026. In the event that the selected user fails to meet any of the specified conditions within the stipulated deadlines (April 13 to April 27 at 23:59), they shall be automatically disqualified and forfeit all rights to the prize. In such a case, Venga reserves the right to re-execute the random system to draw an alternate winner or, alternatively, declare the prize void.

Participants are required to behave in a professional, respectful, and safe manner at all times, complying with these T&Cs and all applicable laws. Participants must act with fair play and are prohibited from using any means intended to manipulate or secure an unfair advantage in the Campaign (use of bots, scripts, emulators, fake identities, or multiple accounts). Venga reserves the right to disqualify any participant who engages in these practices or in disruptive behavior, which will lead to the forfeiture of prizes, potential account suspension, and legal action. Venga reserves the exclusive and unappealable right to disqualify any participant, withhold prize distribution, or void the “Grand Prize” draw if it detects or reasonably suspects the existence of fraud, manipulation, use of fake identities, identity theft (including the use of stolen or forged documents), or the mass, automated creation of accounts. Even if a user has successfully passed the standard identity verification (KYC) process, Venga may, at any time, require users selected as winners to pass additional security checks prior to the crediting of any financial prize. Such measures may be implemented in the presence of founded suspicions and will always strictly adhere to and comply with applicable data protection regulations as set out in the Terms of Service: https://venga.com/en/legal/terms-of-service . The user's refusal, delay, or inability to pass these additional checks within the timeframe stipulated by Venga will result in automatic disqualification and the total forfeiture of the right to the prize, leading to the selection of an alternate winner or the declaration of a void prize, at Venga's sole discretion.

Venga reserves the right, at its sole discretion and without prior notice, to terminate, suspend, or modify the Campaign in its entirety or any of its mechanics due to technical or security issues, fraud, legal or regulatory requirements, or force majeure events. Any significant changes will be communicated via the Venga app or its official website. Venga may also modify or cancel the Event when required by law or by regulatory authorities. Any such modification will be communicated to Participants through the Venga application or website. Venga shall not be held liable for any losses, damages, or harm resulting from technical failures, device issues, connectivity incidents, performance deficiencies caused by third-party providers, user errors, or misuse of the application. Participants acknowledge that they are solely responsible for their use of the Venga application and agree to hold Venga harmless from any claims arising from such use. Nothing in these Terms and Conditions shall exclude or limit liability in cases where such exclusion or limitation is not permitted by applicable law.

In accordance with the regulations governing personal income tax or non-resident income tax, as applicable, participants are hereby informed that any prize awarded for taking part in games, competitions, raffles or random draws linked to the sale or promotion of goods or services is considered a capital gain subject to withholding tax or payment on account of the aforementioned taxes if the value of the prize exceeds three hundred euros (€300). In any event, any tax implications arising from the receipt of the Prize shall be borne by the Winner, and Venga shall therefore be exempt from any liability in this regard. Regardless of the persons who enjoy the Prize, for tax purposes, the provisions of this clause shall apply to the Winner.

Data Categories: During the event participation process, the following data categories may be processed: Identification data (name, surname, identity document, image, voice); Contact data associated with the Venga account; Data derived from eligibility verification (KYC, identity); Data generated during the Event (photographs, audiovisual recordings, approximate location linked to the Event's dynamics, and any information necessary for its management); Data derived from prize delivery (bank details or Venga account details necessary to make the payment). Purposes: Personal data will be processed for the following purposes: Managing participation in the event (including requirement checks, identity verification, and communication with participants); Determining and validating the winner, as well as delivering the prize; Fulfilling legal obligations (including fraud prevention, tax obligations, or requests from competent authorities); Guaranteeing Event security, operational control, and incident management; Recording and broadcasting images obtained during the Event in which Participants appear incidentally in general or ambient shots, based on the legitimate interest of the organizer. In the case of interviews, direct recordings, or content in which a Participant appears individually, processing will only be carried out with their express consent using the document provided in Annex I. Legal Basis: The processing is based on the following legal grounds: Fulfilling the relationship derived from Event participation (Art. 6.1(b) GDPR); Fulfilling applicable legal obligations (Art. 6.1(c) GDPR); Venga's legitimate interest in ensuring the safe execution of the Event and broadcasting general content related to it (Art. 6.1(f) GDPR); Explicit consent for recordings or individualized appearances as stipulated in Annex I (Art. 6.1(a) GDPR). Recipients and International Transfers: Data may be communicated to public authorities (such as the Tax Agency) to comply with legal obligations, service providers, and digital platforms. The publication of participants' videos on social networks (such as Instagram/Meta) may involve an international transfer of data outside the European Economic Area (EEA). This transfer is carried out based on the participant's explicit consent granted when participating in the audiovisual dynamic (Annex I) and supported by the Standard Contractual Clauses (SCCs) of the European Commission signed with said platform providers. Personal data will be processed for as long as necessary to fulfill the purposes for which it was collected and, once that period has elapsed, for the time established by applicable legislation regarding the prescription of liabilities. Users can exercise their rights of access, rectification, deletion, opposition, limitation, and portability at [email protected], and have the right to file a claim with the AEPD (www.aepd.es). Venga applies appropriate technical and organizational measures to ensure the security, integrity, and confidentiality of personal data, in accordance with the GDPR.

Venga shall not be liable for any loss, damage, or harm arising from technical failures, connectivity issues, third-party provider performance, user errors, or misuse of the application. Participants assume responsibility for their use of the app and exempt Venga from any resulting claims. In the event of force majeure or issues beyond its control, Venga may modify or cancel the Campaign.

The general Terms and Conditions of Use and Privacy Policy shall apply on a complementary basis to these Campaign Terms and Conditions, supplementing them in all matters not specifically regulated herein. By participating, users acknowledge and accept that any prize credited to their Venga account (including, where applicable, Sant Jordi Roulette or the Grand Prize) shall be governed by the platform’s standard operational rules and Fee Schedule. These Terms and Conditions shall be governed by and construed in accordance with the laws of Spain. Any dispute arising from or related to the Campaign shall be submitted to the courts and tribunals of the city of Barcelona.
